Article 3 – Applicability
These terms and conditions apply to every offer made by XPRT B.V. and every remote agreement concluded with consumers via LicensePlatform.com. The terms will be made available before the agreement is concluded, either digitally or in writing upon request.
Article 4 – The offer
All products and services are clearly described. Obvious errors or mistakes do not bind XPRT B.V. Validity periods and any conditions are clearly stated.
Article 5 – The agreement
An agreement is concluded at the moment the offer is accepted and confirmed by XPRT B.V. Digital confirmation is legally binding. XPRT B.V. ensures secure processing of electronic transactions.
Article 6 – Right of withdrawal
Consumers have a 14-day reflection period for products and services, unless excluded (e.g., activated digital licenses). XPRT B.V. may request a reason but cannot oblige the consumer to provide one.
Article 7 – Obligations during the reflection period
Consumers must handle products with care and only use them as necessary to assess functionality, similar to trying products in a physical store.
Article 8 – Exercising the right of withdrawal
Withdrawal must be communicated within 14 days. Products must be returned, preferably in original condition. Return costs are borne by the consumer, unless otherwise agreed.
Article 9 – Entrepreneur’s obligations upon withdrawal
All payments including any delivery costs will be refunded within 14 days of withdrawal notification, unless a more expensive delivery option was chosen by the consumer.
Article 10 – Exclusion of the right of withdrawal
Exclusions apply to, among others, digital products that have already been activated or if the consumer explicitly waived the right of withdrawal.
Article 11 – Pricing and promotions
All prices include VAT. Additional conditions apply to promotions, such as a maximum of one item per customer and exclusions of certain items. The “Refer-a-friend” program is for private use only and is monitored for fraud.
Article 12 – Performance and warranty
XPRT B.V. guarantees the quality of its products and services. Any additional warranties do not affect the consumer’s statutory rights. Both parties must cooperate fully in fulfilling the agreement.
Article 13 – Delivery and execution
Orders will be delivered within 30 days unless otherwise agreed. In case of delay, consumers will be informed. XPRT B.V. bears the risk of loss or damage until delivery.
Article 14 – Duration and termination of agreements
Different conditions apply to consumers and business customers regarding cancellation, renewal, and automatic continuation. These are described separately based on the type of customer.
Article 15 – Payment
Payment must be made within 14 days unless agreed otherwise. In case of late payment, interest and collection fees may be charged after notice of default.
Article 16 – Complaints procedure
Complaints are handled within 14 days. If more time is needed, consumers will be notified. Complaints can also be submitted via Stichting Webshop Keurmerk.
Article 17 – Disputes
These terms are governed exclusively by Dutch law. Disputes may be submitted to the Webshop Disputes Committee or a competent court.
Article 18 – Sector guarantee
XPRT B.V. complies with binding decisions of Stichting Webshop Keurmerk. Guarantees are provided up to €10,000 per binding decision.
Article 19 – Additional provisions
Any deviations from these terms must be agreed upon in writing and must not be to the detriment of the consumer.
Article 20 – Changes to the terms and conditions
XPRT B.V. reserves the right to change these terms. For ongoing agreements, the most favorable provision for the consumer will prevail in case of changes.
